BILL Network Rules

Network Overview

Bill.com, LLC, and its affiliates, (collectively, “BILL” or “we”) is a leading provider of cloud-based software that simplifies, digitizes, and automates back-office financial processes for small and mid-sized businesses. Our mission is to make it simple to connect and do business. BILL also provides bill payment services on behalf of our partners to service their customers (“Partners”). Our Partners include some of the leading banks in the United States, including Commerce Bank, First National Bank of Omaha, JP Morgan Chase, KeyBank, PNC, and Wells Fargo.

In connection with providing services to our customers and our Partners’ customers, BILL facilitates and maintains a network in which millions of businesses (“Network”) interact with each other to send and receive invoices and payments. Any business or party that interacts with others in the Network to send or receive a payment, an invoice, or related communication is a participant of the Network (“Participant”). Participants may be subscribers of BILL or one of our Partners, as well as those subscribers’ vendors and customers. BILL and each of our Partners are service providers to Participants in the Network (each a “Network Service Provider”). The Network enables Participants to find each other, connect, and interact, enabling a faster and more efficient process for sending, receiving, and managing invoices and payments. Participants may interact with each other via the Network in a variety of ways to send or receive invoices and payments.

With all of the Participants on the Network interacting with each other, it is important that the Network is interoperable. Interoperability makes it easier for Participants to connect. The Network Rules are intended to achieve this goal by creating a common set of rules that apply equally to all Participants and their activities and interactions in the Network. The Network Rules provide the foundation for a successful interoperable network that provides consistency, predictability, stability and trust for the Participants and our Partners.

Network Rules

  1. Purpose of Network Rules. The following sets forth a common set of rules that apply to all Participants and their activities and interactions in the Network (“Network Rules”). These Network Rules describe the rights and responsibilities of Participants and BILL with respect to the Network. By using the services provided directly by BILL or by BILL on behalf of any of our Partners (collectively, the “Services”), or by interacting with other Participants in the Network, each Participant (“you”) agrees to abide by these Network Rules. These Network Rules supplement our Terms of Service and Privacy Notice applicable to direct customers of BILL and any terms of service applicable to you if you are a subscriber of one of our Partners. To the extent that there is any conflict between these Network Rules and any forementioned terms of service, these Network Rules shall take precedence. We may revise these Network Rules at any time to ensure the Network Rules continue to align with the purpose and design of the Network. Your continued use of the Services constitutes acceptance of any revised Network Rules.

  2. Benefits of the Network. As a Participant, here are some examples of the things that you may be able to do in connection with the Network and that make the Services more efficient. Some functions may vary depending on the Services offered by BILL or its Partners:

    • Search for your vendors or customers who are Participants in the Network in order to connect to pay or get paid for a bill.

    • Invite your customers and vendors to join the Network.

    • Auto-connect with your vendors and customers on the Network. Our auto-connect feature matches and connects you to your vendors and customers based on activities and interactions that you may have had with other Participants in the Network.

    • Visibility Settings enables you to review and update your profile information, and change your visibility to others in the Network when such a function is supported by your Network Service Provider.

    • Manage and change how you pay or are paid. You may be able to designate your preferences for methods to fund a payment or for receiving a payment.

    • Contact businesses you're directly connected with.

    • Receive status updates when an invoice is paid.

    • Receive updates via mobile notifications when someone you have provided access to on your account has the BILL mobile app installed.

  3. Usage of Participant’s Data for the Network. In connection with a Participant’s use of the Services, a Participant may provide account information, including business name, addresses, contact information, phone numbers, email addresses, and bank routing and account numbers (“Participant Data”). In connection with using the Services to search, connect, communicate, and send and receive invoices and payments to or from your vendors and customers via the Network, or otherwise interact with other Participants, a Participant may provide, make available, upload, add, share, send, receive, or otherwise exchange invoices (and data contained therein), payment instructions and account information, or other information relating to such Participant and its vendors and customers (“Transaction Data”). Participant agrees that BILL may use Transaction Data and Participant Data (collectively, “Network Data”) to provide services for the Network which includes the ability to send and receive invoices and payments, make connections between Participants, enable interactions among Participants, provide and enhance the Services, and enable and enhance activities and operations of the Network (“Network Services”). Examples of the Network Services include:

    1. Process Transactions. When a Participant initiates the sending or receiving of any payment or other transactions, BILL may use Network Data and provide relevant data to intermediary financial institutions, payment processors, and service providers (“Payment Facilitators”), in order to process such payment or other transactions.

    2. Exchange Transaction Information. When a Participant receives, initiates, or takes other action on any invoice, payment, invite, or other communication with other Participants via the Network, the intended recipient will receive certain Network Data that are relevant to process the transactions or perform the activities (the “Exchanged Data”).  You agree that we can use and share the Exchanged Data with the intended receiving Participant to facilitate a transaction or other interaction, and that the sending Participant, the receiving Participant, Network Service Providers, and Payment Facilitators may receive and retain a copy of the Exchanged Data.

    3. Automate Connections of Participants. In order to enable easier and faster ways for Participants to identify and connect with other Participants on the Network, BILL may analyze and use Network Data and Participants’ activities and interactions with other Participants in the Network to identify one Participant to another and to facilitate and automate connections between Participants.

    4. Enhance Security and Performance of the Network and the Services. BILL may analyze and use Network Data to manage and ensure the security and integrity of the Services and the Network, and to assess, prevent, mitigate, or correct any risks of fraud, financial loss or other harm.

    5. Improve the Services and the Network. BILL may use Network Data to develop, improve, and enhance the Services and the Network, and may offer and promote new or additional products and services relating to the Services and the Network that may be valuable and beneficial to Participants.

    6. Perform Data Analysis and Financial Reporting. BILL may analyze and use pseudonymized or aggregated Network Data that does not identify the identity of Participants to perform financial reporting, data analytics, and provide statistics relevant to the Network.

    7. Comply with Laws and Regulations. BILL may use Network Data to comply with applicable legal and regulatory requirements.

    8. Store and Process Data for Network Operations. In connection with providing the Services and operating the Network, BILL may store and process Network Data for purposes of providing the Services and the Network in compliance with applicable laws. BILL may use any third-party service providers to perform activities permitted by these Network Rules for or on behalf of BILL. BILL will not use or disclose Network Data for any purpose not permitted by these Rules, the applicable terms of service, or by applicable law. BILL will not sell, lease, rent, or trade Network Data to any third party for that party’s marketing or promotional purposes, except with your consent.

  4. Transaction Processing. The Network will facilitate a payment transaction in accordance with: (i) the initiating Participant’s instruction with its Network Service Provider for methods to provide and send funds for the transaction; and (ii) the receiving Participant’s instruction with its Network Service Provider for methods to receive funds from the transaction.
